Southern Memorial Gardens - Maryland Office of Cemetery Oversight

 

Southern Memorial Association, Inc. DBA Southern Memorial Gardens:

Southern Memorial Gardens was purchased by its new owners, Southern Memorial Association, Inc. on September 19, 2013. The permit to operate the cemetery was issued by the Office of Cemetery Oversight on October 1, 2013. On July 25, 2013, the Bankruptcy Court granted the Trustee’s Motion and signed an Order permitting the proposed sale of Badtec, Inc., T/A Southern Memorial Gardens (PDF document, 67KB, download Adobe Acrobat for free).


On June 13, 2013, the Bankruptcy Trustee filed a Notice (PDF document, 56KB, download Adobe Acrobat for free) with the Bankruptcy Court specifying that he had entered into an Asset Purchase Agreement for the purchase of the Southern Memorial Gardens Cemetery . The Trustee also filed a motion (PDF document, 45KB, download Adobe Acrobat for free) with the Court to approve the sale of the cemetery and requested that the Court issue an Order approving the Asset Purchase Agreement. The Agreement further provides that, although they are not assets of the bankruptcy estate, the trust funds held on account of perpetual care and preneed sales shall be transferred into appropriate perpetual care and preneed trust accounts pursuant to trust agreements to be created. The new owner will also honor existing preneed contracts.

A hearing has been scheduled before the Bankruptcy Court on July 22, 2013 at 11:00 a.m. in Courtroom 3-E, U. S. Court House, 6500 Cherrywood Lane, Greenbelt, Maryland 20770. At that hearing, the Court will consider any objections filed to the Trustee’s proposed sale of the cemetery as well as any higher or better offers for purchase of that property. If there aren't any timely objections or higher or better offers, the hearing will be canceled and the Trustee may proceed to consummate the sale as proposed. The Trustee has scheduled a meeting with interested parties on Thursday, June 20, 2013, at 11:00 a.m. to address concerns regarding the proposed sale. The meeting will take place on the grounds of Southern Memorial Gardens, 10155 Ward Road, Dunkirk, Maryland 20754.

After the cemetery property has been transferred and the bankruptcy case has been closed, the Office of Cemetery Oversight will work with the purchaser of the cemetery to facilitate an expeditious review of the permit and registration applications which must be filed with the Office prior to the issuance of the permit and registrations necessary for the legal operation of the cemetery.

As stated in the Trustees’ Notice of Sale, “A hearing has been scheduled before the court on July 22, 2013 at 11:00 a.m. in Courtroom 3-E, U.S. Court House, 6500 Cherrywood Lane, Greenbelt, Maryland 20770. At the hearing, the Court will proceed to consider any Objections filed as above-contemplated as well as any higher or better offers for the purchase of the Property. In the event no such timely Objections are filed nor higher or better offers submitted, the hearing will not be held and the undersigned Trustee may proceed to consummate the sale above-contemplated.

No objections nor higher or better offers for the purchase of the personal and real property of Badtec, Inc. t/a Southern Memorial Gardens, were filed with the United States Bankruptcy Court for the District of Maryland at Greenbelt (Case No. 11-33795-TJC) prior to the filing deadline of the close of business on July 8, 2013.
